The essentials
We want you to know what you are getting, what it costs and who is responsible for each part. You can ask a question, request a quote or book a free introductory audit without committing to paid work.
- Starting prices are a guide. Your accepted written proposal defines the work and final price.
- We agree before we begin. Scope, access, expenses and important changes need approval.
- Your business stays yours. Account ownership, deliverable rights and third-party licenses are explained before work starts.
- Clear expectations matter. Marketing results, system uptime and complete security cannot be guaranteed.
1. Who we are and when these terms apply
Factored Solutions is an IT and marketing solutions agency based in Torrance, California 90504. We offer suitable services remotely worldwide and arrange physical work according to location and project requirements. In these terms, “we,” “us” and “our” mean Factored Solutions; “you” means the person or business using this website or engaging our services.
These terms explain use of our website and the general basis on which we offer services. A service engagement begins only when both sides accept a written proposal, statement of work or other service agreement. That agreement identifies the contracting parties and incorporates these terms where stated. A website enquiry, chat, consultation or quotation request does not by itself authorize paid work or create an ongoing support obligation.
If your accepted service agreement conflicts with this page, the specific agreement controls for that project, subject to rights that cannot legally be waived. Please act only for yourself or a business you are authorized to represent.
2. Starting prices, quotes and payment
Published “from” prices are starting prices in U.S. dollars for the limited scope described with each offer. They are not a final quote for every business. The number of users, devices, pages, locations, platforms, revisions, integrations and other requirements can change the price. One-time, hourly and monthly charges are identified separately.
Your written proposal will state the agreed deliverables, price or billing method, payment schedule, any deposit, included revisions and applicable recurring terms. We will identify additional costs before you authorize them. Hardware, domains, hosting, software subscriptions, advertising spend, payment-processing charges, government filing fees, specialist services and travel are excluded unless expressly included. Applicable taxes, when required, will be identified in the quote or invoice.
We will not buy advertising, equipment or third-party services for you without approval of the relevant budget or purchase. Monthly services begin only by agreement; the proposal will explain billing, renewal and cancellation. We do not enroll you in a paid subscription merely because you request a free audit or submit a form.
Tell us promptly if an invoice appears incorrect so we can review it. Suspension for overdue payment, any late charges and other payment remedies must follow the accepted agreement and applicable law.
3. What the free audit includes
The free introductory audit is a focused, up-to-20-minute remote conversation about one marketing, website, business-process or IT area, followed by a brief recap of up to three practical priorities. We use information you choose to share and, where relevant, publicly available material. Scheduling is subject to availability; one introductory audit is offered per business.
There is no purchase requirement. This introductory review does not include implementation, account administration, vulnerability scanning, penetration testing, incident response, formal compliance assessment, financial-statement auditing or a comprehensive examination of your business. Any deeper assessment or follow-on work requires a separate agreed scope and quote.
4. Scope, changes and approvals
We agree on the work, assumptions, deliverables, responsibilities and review stages before starting. Work outside that scope—including additional concepts, revisions, pages, platforms, data migration or integrations—may require an updated quote and timeline. We will explain the change and obtain your approval before proceeding with additional billable work.
You provide accurate business information, timely feedback, authorized access and materials you have the right to use. Both sides identify a person who can approve decisions. Please consolidate feedback where practical. We will ask you to approve final content, designs, campaigns or material system changes at the stages set out in the proposal.
A published delivery date or estimate depends on agreed access, content, approvals and third-party availability. If those dependencies change, we will discuss a revised schedule. We do not treat silence as approval unless your accepted agreement expressly defines a reasonable approval process.
5. Branding, websites and advertising
Marketing work is performed against agreed objectives and deliverables. We do not promise a particular search ranking, number of followers, leads, sales, advertising approval or return on investment. Results also depend on your offer, budget, competition, website, customer follow-up and decisions made by platforms.
You are responsible for supplying accurate information about your business and evidence for claims that require support. We may request substantiation, recommend changes or decline content that appears deceptive, unlawful or contrary to a platform’s rules. Your approval does not remove our own obligations under applicable advertising law.
Advertising budgets are separate from management fees unless stated otherwise. We agree on spending authority, account access and approval responsibilities before campaigns launch. Platforms may change policies, reject content, restrict accounts or change features; resolving those issues or moving to another provider may require additional work.
Names, logos and taglines are creative services, not a legal trademark-clearance opinion. Any availability check included in a proposal has the stated scope and limitations. Legal clearance and registration should be handled by a qualified adviser before a major brand commitment.
6. IT work, access and cybersecurity testing
We work only on systems, devices, accounts and data you are authorized to manage. Provide access through an agreed secure method, preferably using delegated permissions rather than shared passwords. Do not send passwords, recovery codes, payment-card details or identity documents through the general enquiry form or website chat.
Before security testing, we require written authorization and a defined scope covering the system owner, targets, methods, timing, data handling and stop conditions. Third-party systems require the appropriate provider or owner permission. An enquiry or free audit is not permission to scan, access or test a system.
We agree on maintenance windows, backup responsibilities and recovery steps before changes that could disrupt operations. Unless backup management is expressly included, you remain responsible for maintaining usable backups and business-continuity arrangements. We will discuss material risks and dependencies identified during planning; this does not excuse us from the care required by our agreement or applicable law.
Security assessments describe the agreed scope at a point in time. No review or test can establish that every weakness has been found or that future compromise is impossible. POS support, updates or security work do not constitute PCI compliance certification unless a separate engagement expressly provides an appropriate formal assessment.
Emergency response, continuous monitoring, guaranteed uptime and response-time commitments are included only when explicitly agreed. Physical installation, cabling, electrical work and site access are confirmed separately, including any need for an appropriately qualified local specialist.
7. Business launch and administrative assistance
Business setup assistance helps you organize information, understand practical steps and coordinate work. It is not legal, tax, accounting, investment or other regulated professional advice. Decisions about entity structure, taxation, licensing and legally required filings remain with you and your qualified advisers.
The IRS issues EINs free of charge. Any Factored Solutions charge is for optional administrative assistance, not an IRS fee. If we are separately authorized to act as a third-party designee, the required written authorization must be in place. Approval and processing time remain with the relevant authority. You can apply directly through the official IRS EIN service.
8. Third-party platforms and tools
Some work uses outside providers, including hosting, domains, POS software, phone carriers, payment processors, advertising platforms and chat tools. Their availability, charges, licenses and terms also apply. We explain relevant dependencies and agree on who owns and pays for each account. Wherever practical, business accounts are created in your business’s name with access delegated to us.
We may use appropriately licensed software, automation or AI-assisted tools to support agreed work. Material restrictions, third-party assets and any agreed limits on those tools will be addressed in the proposal or handover. Confidential information will not be placed in a public AI tool without appropriate authorization and data-handling arrangements. Exclusivity or legal protectability of third-party or AI-generated material is not promised.
We remain responsible for the services we agree to perform. We cannot control a third party’s independent outages, policy changes or decisions. A transition, replacement or integration repair outside the original scope will be discussed before additional work is charged.
9. Your materials and the work we deliver
You keep ownership of the information, brand assets, accounts and other materials you supply. You give us permission to use them only as needed to perform the agreed work. Please ensure you have the permissions needed for supplied text, photographs, customer data, fonts and other content.
The proposal will identify final deliverables, editable or source files, and the rights you receive. Unless that agreement states otherwise, ownership of original custom deliverables created specifically for you transfers after full payment for those deliverables. We provide the agreed final files and reasonable handover information.
Pre-existing tools, reusable methods, unused concepts and third-party assets are excluded from that transfer. Third-party software, fonts, stock material and open-source components remain subject to their licenses. Where our retained material is embedded in a paid final deliverable, the agreement will provide the usage rights needed for its intended purpose.
We will obtain permission before publishing your confidential work, business name or project results as a case study or testimonial. The content and branding on this website may not be republished or used to imply endorsement without permission.
10. Confidentiality and personal information
Both sides should use non-public business information received during an engagement only for the agreed work, protect it with reasonable care and limit access to people who need it. This does not cover information that is already public without a breach, independently developed or lawfully received elsewhere. Disclosure required by law is handled as legally required.
If a project involves sensitive, regulated or substantial personal data, we agree on access, processing, retention and deletion responsibilities before that work begins. Additional confidentiality or data-processing terms may be needed. Our Privacy & website information page explains information collected through this website and the services used to handle enquiries and chat.
11. Pausing, cancellation and ending an engagement
Either side may ask to pause or end a project by contacting the other in writing. The accepted proposal governs notice, work in progress and any recurring-service cancellation process. We will identify completed work, authorized non-cancellable outside costs, outstanding balances and the status of deliverables.
Where an agreement does not specify a cancellation calculation, we will account for work actually performed within the approved scope and outside costs you authorized, then return any prepaid amount that exceeds those charges, subject to applicable law. There is no blanket “no refunds” rule on this website.
We may decline or suspend work that requires unlawful activity, unauthorized access, unsafe conduct or use of materials without necessary rights. Where reasonably possible, we explain the issue and give an opportunity to resolve it. Ending an engagement does not remove accrued payment obligations, confidentiality duties or rights in work already paid for. Handover and removal of our access will be coordinated according to the agreement.
12. Questions, corrections and service concerns
Please contact us promptly if a deliverable does not meet the accepted scope. We will review the concern against the agreement and discuss an appropriate correction or remedy. Any included support period, defect correction, acceptance criteria and exclusions will be stated in the proposal; an ongoing maintenance service is not implied by a one-time project.
The website provides general service information. Although we aim to keep it accurate, typographical mistakes, availability and third-party information can change. We clarify the relevant details before accepting a project and will not change an agreed project price simply by changing this website.
13. Responsibility and rights that remain protected
Each side is responsible for the obligations it accepts and for its own conduct under applicable law. Any project-specific limits on liability or allocation of risk must be set out in the accepted service agreement and apply only to the extent the law permits.
Nothing on this website or in these terms excludes or limits liability for fraud, willful misconduct, gross negligence, unlawful conduct where liability cannot be limited, or any other responsibility that cannot lawfully be excluded. Mandatory consumer protections, applicable statutory remedies and other non-waivable rights remain in place. No provision requires you to give up a lawful right to make a truthful review or complaint.
We do not promise that these general terms address every regulated industry or jurisdiction. Additional requirements must be identified and agreed before specialized work starts.
14. Resolving a concern
Start by emailing info@factoredsolutions.com with the project name, a description of the concern and the outcome you are seeking. We will review the matter and try to resolve it through direct discussion. This does not prevent either side from seeking urgent relief, using a lawful complaint process or exercising a right before a legal deadline.
Unless the accepted agreement specifies otherwise, California law governs these terms, without using its conflict-of-law rules to displace mandatory protections that apply to you. This page does not impose mandatory arbitration, a class-action waiver or a waiver of access to a court or regulator where you have a legal right to use one.
15. Updates and contact
We may update this page as services or operating practices change. The date at the top identifies the current version. Changes apply prospectively and do not automatically rewrite an existing accepted service agreement. If part of these terms cannot lawfully be applied, the remaining parts continue only to the extent permitted by law.
